PowerUp Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the PowerUp web and mobile applications (collectively, the “Service”) provided by PowerUp Global Ltd, a company registered in England and Wales (Company No. 15291462) whose registered office is at 71–75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom (“PowerUp”, “we”, “us”, or “our”).
By accessing or using the Service, you (“you”, “User”, or “Employee User”) agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.
1. Eligibility and Account Registration
1.1 You must be at least 18 years old to use the Service.
1.2 Access to the Service is provided only to users authorised by an employer or organisation that has entered into a valid licence agreement with PowerUp (“Employer”).
1.3 Users may access the Service by creating an account or by using single sign-on (SSO) if enabled by their Employer.
1.4 You agree to provide accurate and complete registration information and to maintain the confidentiality of your account credentials. You are responsible for all activity that occurs under your account.
2. Employer Licence
2.1 The Service is made available under a licence purchased by the Employer. Individual users do not pay for access, except in specific cases where PowerUp may grant access free of charge for proof-of-concept or trial purposes.
2.2 PowerUp reserves the right to suspend or terminate any account where the Employer’s licence is suspended, expired, or terminated.
3. Description of the Service
3.1 PowerUp provides a platform for employee psychometric analysis and performance improvement at the individual, team, and organisational levels.
3.2 Data collected from employees is used to provide personalised feedback and is also aggregated and anonymised to generate insights for Employers. Employers access such insights through dashboards within the PowerUp software.
3.3 The Service is designed to enhance workplace performance and wellbeing. It is not intended as a substitute for professional medical diagnosis, advice, or treatment.
4. Data Protection and Privacy
4.1 PowerUp processes personal data in accordance with applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
4.2 Personal data collected may include name, email address, job title, company information, demographic details (such as age and gender), psychometric responses, and health-related data voluntarily provided by users.
4.3 Data is stored using Mongo DB and Microsoft Azure and may be hosted in different regions according to the Employer’s location (e.g., UK, EU, Africa).

4.5 By using the Service, you acknowledge and agree to the processing of your data in accordance with that Privacy Policy.
4.6 PowerUp may use certain personal and aggregated data collected through the Service to develop, train, and operate algorithms, analytics, and artificial intelligence (“AI”) systems that support the functionality of the Service. Such processing may include automated analysis of psychometric or behavioural data to provide insights, recommendations, or performance indicators to Users and Employers. PowerUp does not use AI systems to make solely automated decisions that produce legal or similarly significant effects on any individual. Where data is used to improve AI models, it is processed in anonymised or aggregated form and in accordance with the PowerUp Privacy Policy and applicable data protection laws.
5. Cookies
5.1 The Service uses cookies and similar technologies to enhance user experience, analyse usage, and improve functionality.
5.2 By using the Service, you consent to our use of cookies in accordance with our Cookie Notice, which is accessible via the Service or website.
6. Intellectual Property
6.1 The Service, including all software, text, graphics, data, content, and trademarks, is owned by or licensed to PowerUp Global Ltd and is protected by intellectual property laws.
6.2 Users are granted a limited, non-exclusive, non-transferable licence to use the Service in accordance with these Terms and solely for authorised business purposes.
6.3 You may not copy, modify, distribute, sell, lease, reverse engineer, or otherwise exploit any part of the Service without our prior written consent.
7. Prohibited Conduct
Users must not:
(a) use the Service for unlawful or unauthorised purposes;
(b) share, transfer, or otherwise disclose access credentials;
(c) attempt to gain unauthorised access to the Service or related systems;
(d) upload or transmit viruses, malware, or harmful code;
(e) use the Service to harass, defame, or harm any person;
(f) attempt to reverse engineer or copy the software or any underlying source code;
(g) use the Service in a way that infringes the intellectual property rights of PowerUp or others.
8. Third-Party Services and Integrations
8.1 The Service may integrate with or allow users to connect to third-party platforms such as Microsoft, Apple Health, or other similar tools.
8.2 Any such integrations are optional and subject to the user granting appropriate permissions.
8.3 PowerUp is not responsible for the availability, accuracy, or content of third-party services, or for any data shared through them. Use of third-party services is at your own risk and governed by the terms of those providers.
9. Service Availability and Maintenance
9.1 PowerUp aims to ensure that the Service operates reliably and efficiently but does not guarantee uninterrupted access.
9.2 We may suspend, withdraw, or restrict access to the Service temporarily or permanently for maintenance, updates, or technical reasons.
9.3 We will endeavour to give reasonable notice of planned maintenance where possible.
10. Health Disclaimer
10.1 The PowerUp Service is not a medical device and does not provide medical advice.
10.2 Any health-related data, analytics, or recommendations provided by the Service are for informational purposes only and are not intended to diagnose, treat, cure, or prevent any medical condition.
10.3 Users should always consult qualified health professionals regarding any health-related decisions.
11. Limitation of Liability
11.1 To the fullest extent permitted by law, PowerUp excludes all implied warranties, representations, and conditions relating to the Service.
11.2 PowerUp shall not be liable for any indirect, incidental, special, or consequential loss, including loss of profits, data, or business opportunity, arising out of or in connection with the use or inability to use the Service.
11.3 PowerUp’s total aggregate liability under these Terms shall not exceed the amount paid by the Employer under the relevant licence for the period in which the claim arises.
11.4 Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
12. Termination
12.1 PowerUp may suspend or terminate a user’s access immediately if:
(a) the Employer’s licence is terminated or expires;
(b) the user ceases to be employed or authorised by the Employer; or
(c) the user breaches these Terms.
12.2 Upon termination, all rights granted to the user under these Terms shall cease, and PowerUp may delete or anonymise personal data in accordance with its Privacy Policy.
13. Changes to the Terms
13.1 PowerUp may update or amend these Terms from time to time.
13.2 Material changes will be notified via the Service or by email. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
14. Governing Law and Jurisdiction
These Terms and any disputes arising from them are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to resolve any dispute relating to these Terms or the Service.
